These Terms and Conditions ("Terms") govern your access to and use of the Verdadero Tequila website located at verdaderotequila.com (the "Site"), operated by Verdadero Spirits LLC, the owner of the Verdadero Tequila brand ("Verdadero," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

1. AGE REQUIREMENT

1.1 Legal Drinking Age

3.2 Trademarks and Brand Assets

The Verdadero name, Verdadero Tequila name, logos, horse mark, VS mark, "The Spirit for More" tagline, product names, trade dress, campaign identities, and all associated brand elements are trademarks or proprietary brand assets of Verdadero Spirits LLC.

Unauthorized use of any Verdadero trademark, logo, trade dress, or brand asset is strictly prohibited.

3.3 Restrictions

You may not reproduce, distribute, modify, display, publish, transmit, create derivative works from, or otherwise exploit any Site content without prior written consent from Verdadero.

4. E-COMMERCE AND THIRD-PARTY RETAILERS

4.1 Product Availability

Verdadero Tequila may provide links or access to purchase options through third-party e-commerce platforms, including ReserveBar, and/or licensed retailers, delivery providers, or other authorized partners.

Product availability, pricing, promotions, shipping eligibility, and delivery options may vary by location and are subject to applicable federal, state, and local laws.

4.2 Third-Party Sales and Fulfillment

Verdadero markets and promotes Verdadero Tequila products through this Site. However, Verdadero does not sell, process, fulfill, or ship alcoholic beverage orders directly through the Site unless expressly stated and legally permitted.

Any purchase made through third-party platforms, including ReserveBar, is sold, processed, fulfilled, and shipped by the applicable licensed third-party retailer or service provider, not directly by Verdadero.

By using any third-party purchase functionality, you acknowledge that your transaction may be governed by the third party’s own terms of use, privacy policy, shipping policy, return policy, and applicable alcohol beverage laws.

4.3 Age Verification and Delivery

Alcoholic beverage purchases are available only to individuals who are of legal drinking age in their jurisdiction. In the United States, you must be 21 years of age or older to purchase or receive alcoholic beverages.

Adult signature and valid government-issued identification may be required upon delivery. Orders may be refused, cancelled, or restricted where prohibited by law or where age verification cannot be completed.

4.4 Payment, Shipping, Returns, and Refunds

Payment processing, shipping, delivery, returns, refunds, order cancellations, and customer service for purchases made through third-party platforms are handled by the applicable third-party provider or licensed retailer.

Verdadero is not responsible for third-party order processing, shipping delays, delivery restrictions, return decisions, refund timing, payment processing issues, or customer service decisions made by third-party providers.

5. USER-SUBMITTED CONTENT

5.1 License to Submitted Content

If you submit content to Verdadero through the Site, social media, contests, sweepstakes, promotional campaigns, events, or other channels, including but not limited to photos, videos, comments, testimonials, reviews, captions, or creative works, you grant Verdadero a non-exclusive, worldwide, royalty-free right to use, reproduce, edit, display, publish, distribute, and create derivative works from such content in connection with Verdadero’s marketing, promotional, advertising, social media, and business activities.

5.2 Your Representations

You represent and warrant that you own or have the necessary rights to submit the content and that Verdadero’s use of the content will not violate the intellectual property rights, privacy rights, publicity rights, or other rights of any third party.

You retain ownership of any content you submit.

5.3 Promotions and Official Rules

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERDADERO SPIRITS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SERVICE PROVIDERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, THIRD-PARTY LINKS, THIRD-PARTY PURCHASE FUNCTIONALITY, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Liability Cap

In no event shall Verdadero's total liability to you for all claims arising from or related to the Site or these Terms exceed the greater of:

(a) The amount you paid directly to Verdadero, if any, in the twelve months preceding the claim; or

(b) One hundred dollars ($100).

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Verdadero Spirits LLC and its officers, directors, employees, agents, representatives, service providers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with:

(a) Your use of the Site;

(b) Your violation of these Terms;

(d) Your submitted content; or

(e) Your infringement of any third-party right.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

11.2 Venue and Jurisdiction

Any dispute arising from or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction and venue in those courts.

11.3 Equitable Relief

Nothing in these Terms limits either party’s right to seek injunctive or equitable relief for unauthorized use of intellectual property, misuse of confidential information, or other conduct that may cause irreparable harm.

12. MODIFICATIONS TO THESE TERMS

We reserve the right to modify these Terms at any time. Updated Terms will be posted to the Site with a revised effective date or last updated date.

Your continued use of the Site after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, please discontinue use of the Site.

13. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms or official rules expressly referenced on the Site, constitute the entire agreement between you and Verdadero Spirits LLC with respect to your use of the Site and supersede all prior agreements, representations, and understandings relating to the Site.

14. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid, illegal, or unenforceable provision shall be interpreted or modified to the minimum extent necessary to make it valid and enforceable.
